AziMiner Service Agreement

This AziMiner Service Agreement (this “Agreement”) sets out rights and obligations between you and the operator of the AziMiner platform and its designated affiliates (collectively, “AziMiner”, “we”, “us”, or “our”), including in relation to the AziMiner website (https://aziminer.com), any AziMiner mobile or web application we offer, and the services made available through them (the “Platform”). This Agreement is legally binding and applies to your activities on the Platform. By accessing or using the Platform, you accept this Agreement in full. If you do not agree, you must stop using the Platform and our services. If you purchase any product we offer, you also agree to any product-specific terms presented at purchase. We may change this Agreement at any time at our sole discretion. You should review this page periodically. Unless we specify a different effective date, the updated Agreement replaces the prior version when posted. Your continued use after changes constitutes acceptance.

Service content

AziMiner uses its own systems, partners, and infrastructure to provide the services and products described on the Platform from time to time.

Provision, modification, and termination of services

  1. While using AziMiner services, you agree that we may send operational and commercial information to the email address, phone number, or mailing address associated with your account. You may update your profile through the account settings where available.
  2. If you object to changes to this Agreement or are dissatisfied with our services, you may (1) stop using the Platform, or (2) contact us through customer support and request account closure where permitted. After termination, your right to use the Platform ends immediately. We are not obligated to forward any unprocessed messages or incomplete workflows to you or any unrelated third party.
  3. Once you purchase a product or service on the Platform, we may refuse a refund where permitted by applicable law and the product-specific terms, including where hashrate has been allocated, digital assets have been deployed, or fees have been incurred by us or our providers.

User registration

1. You represent and warrant to AziMiner as follows (repeated each time you use the Platform):

  1. If you are a natural person: you are at least 18 years old and have full legal capacity to enter contracts.
  2. If you are an entity: you are duly organized, validly existing, and in good standing (if applicable) under the laws of your jurisdiction.
  3. Your use of the Platform complies with laws and regulations that apply to you and does not violate obligations you owe to any third party.
  4. You have authority to enter this Agreement and any purchase you make is valid and binding on you.

2. Regarding registration data, you agree:

  1. To provide lawful, true, accurate, and complete information.
  2. To promptly update information when it changes. If your information is unlawful, false, inaccurate, or incomplete, you bear the consequences and we may suspend or terminate access.
  3. Unless we give express written consent, you will maintain only one primary account per person or entity as we may reasonably define.
  4. For compliance (including know-your-customer and anti-money laundering), we may request personally identifiable information and/or financial information.
  5. Certain features require your username and password. If you lose access, we may ask for identity proof, proof of address, contact verification, and activity details (such as transaction or order identifiers). You must not share credentials with third parties or allow unauthorized access. We are not liable for losses caused by your mishandling of credentials or by third-party access you permitted. Notify us immediately if you suspect compromise.

Information confidentiality

1. “User information” means information that is lawful to collect and includes:

  1. Information you submit during registration or account maintenance.
  2. Technical data from your browser or app (such as IP address, device identifiers, cookies, and request logs) when you use the Platform.
  3. Information we receive from partners where permitted by law.
  4. Information we collect through other lawful channels.

2. We will not sell your password or publish your non-public contact details to unrelated third parties without legal basis or your consent where required.

3. We may disclose information when:

  1. You consent or direct us to disclose.
  2. Law, regulation, court order, or competent authority requires it.
  3. Another lawful basis under applicable law applies.

Risk factors

Before purchasing any service, assess whether it fits your financial situation and risk tolerance. By purchasing, you acknowledge risks including those below (non-exhaustive). These risks may prevent gains, cause losses, or lead to suspension of services:

  1. Digital assets and related products involve financial, regulatory, and operational risks. You should understand blockchain technology, digital assets, and contracts you enter. AziMiner does not provide personalized investment advice; nothing on the Platform is a recommendation to buy or sell any asset.
  2. Rewards and values may be affected by mining difficulty, network parameters, market prices, hardware depreciation, and other factors outside our control.
  3. Digital asset prices can be volatile and may decline rapidly, including toward zero. We are not responsible for market-driven losses.
  4. Blockchain transfers may be delayed or, in rare cases, not confirm. Unconfirmed transfers are incomplete.
  5. Many digital asset transfers are irreversible. Errors in addresses or amounts may not be recoverable.
  6. AziMiner does not offer traditional bank-style custody of your funds. Payments may be made using methods shown at checkout (which may include digital assets and, where available, prepaid credits or internal balances subject to their own terms). Where a payment method is marked non-refundable, purchase only what you intend to use.
  7. Loss of PINs, seed phrases, or external wallet keys may cause permanent loss of access to assets outside our control.
  8. Blockchain software may contain unknown technical defects.
  9. Laws and policies affecting digital assets may change in your jurisdiction.
  10. We may maintain or upgrade systems. Service may not be uninterrupted. Except where law requires otherwise, we are not liable for losses from planned or emergency maintenance.
  11. No security practice is perfect. You accept risks of unauthorized access and phishing.
  12. Official notices appear through the Platform, registered email, or other channels we designate. We are not responsible for communications from impersonators; verify through support@aziminer.com or the Contact page if unsure.

User rights

  1. Account and security. You may register an account subject to our rules. Account names must not infringe others’ rights or contain unlawful or abusive content. You are responsible for activity under your credentials. Password reset flows are offered where technically available.
  2. You may participate in promotions or programs we run, subject to their rules.
  3. You may use other services we make available according to Platform rules.
  4. If we cannot deliver a paid service due to our fault where our product terms so provide, we will offer a reasonable remedy (such as credit, replacement service, or refund) in line with those terms.

User restrictions and obligations

  1. You must not use the Platform to violate applicable law, harm national security where such concepts apply in your jurisdiction, disclose protected secrets without authority, or infringe collective or individual rights. You must not produce, copy, or distribute unlawful content including incitement to violence or discrimination, false information that disturbs public order, obscene or violent material where prohibited, defamation, content harming governmental credibility where applicable, other illegal content, or unauthorized commercial advertising on our systems.
  2. You must not register accounts in bulk for abuse, fraud, bonus farming, or market manipulation; you must not steal accounts. We may suspend services and take lawful enforcement steps.
  3. You must safeguard passwords, one-time codes, and any second-factor devices. You are responsible for losses from credential leakage.
  4. You must not use the Platform as a venue for unlawful schemes, impersonate AziMiner, scrape or reuse our data without written permission, or conduct unauthorized commercial activity using our brand or systems.
  5. You must comply with this Agreement and all policies we publish.
  6. Taxes, hardware, software, connectivity, and third-party fees connected with your use are your responsibility.
  7. You use the Platform for your own benefit unless we expressly agree otherwise in writing.
  8. You will notify us of suspected fraud affecting the Platform.
  9. You will not interfere with security or stability of the Platform.
  10. You will not use technical means primarily intended to conceal illicit activity or evade lawful blocks (such as abusive use of proxies or VPNs to circumvent restrictions).
  11. Content on the Platform (text, graphics, layout, software) is owned by AziMiner or licensors. You must respect intellectual property rights.
  12. Your use must not damage our reputation or expose us to sanctions or penalties beyond what law requires us to bear.
  13. You may request account closure subject to completion of pending obligations and settlement of fees owed.
  14. Services are not offered to Restricted Persons, including (without limitation):
    • Residents or persons located in jurisdictions we designate as restricted (which may include, where we so announce, the United States, Hong Kong, mainland China, Crimea, Cuba, Iran, North Korea, Syria, and other regions added by us from time to time);
    • Persons targeted by trade sanctions or export-control restrictions; or
    • Persons our compliance policies exclude.
    The list is not exhaustive. If you are a Restricted Person, you must not use the Platform; you bear all risks of unauthorized use, and we may refuse service and withhold refunds where permitted by law and policy.

Liability for breach of agreement

  1. If you breach this Agreement (including non-payment, illegal use in your region, or abuse), we may suspend or terminate access and pursue remedies permitted by law, including recovery of losses we suffer.
  2. If we reasonably suspect fraud or illegality, we may suspend services until you provide satisfactory evidence of compliance. We are not liable for losses arising from such suspension where justified.

Disclaimer

  1. Our liability for any product is capped as stated in that product’s terms; if silent, aggregate liability to you for that product generally shall not exceed fees you paid to us for it in the six (6) months before the claim (subject to mandatory law).
  2. We do not guarantee uninterrupted or error-free service. We are not liable for events beyond reasonable control, including war, terrorism, sabotage, natural disasters, epidemics, strikes, riots, regulatory acts, or major internet failures. We will use reasonable efforts to mitigate downtime.
  3. We are not liable for deletion or failure to store user-generated content beyond what our backups and policies provide.
  4. Except where we expressly warrant in writing, we do not guarantee completeness of information on the Platform. You assume risks from reliance on general information.
  5. Notices through official channels prevail; we are not liable for fake promotions from unofficial sources.
  6. To the fullest extent permitted by law, we are not liable for lost profits, indirect, incidental, special, or consequential damages, or events including: trading losses; data loss not caused by our intentional misconduct; product withdrawal; legal or policy changes; compliance holds based on information you provide; your breach or negligence; or other causes outside our reasonable control.
  7. You will indemnify and hold harmless AziMiner, its affiliates, and their officers, directors, employees, and agents from claims, losses, and reasonable attorneys’ fees arising from your breach of this Agreement or violation of law.

Miscellaneous

  1. Waiver. Failure to enforce a provision is not a waiver of future enforcement.
  2. Severability. If any provision is invalid, the remainder stays in effect.
  3. Governing law. This Agreement is governed by the laws of Singapore, excluding conflict-of-law rules that would apply another jurisdiction’s law.
  4. Entire agreement. This Agreement prevails over inconsistent informal statements regarding the same subject.
  5. Dispute resolution. Before filing a claim, contact support@aziminer.com so we can try to resolve the dispute informally in good faith. Confidentiality of settlement discussions does not waive rights where law says otherwise. If informal resolution fails within a reasonable period, either party may submit the dispute to the Singapore International Arbitration Centre (SIAC) for final binding arbitration under SIAC rules then in force, with seat in Singapore. The prevailing party may seek recovery of arbitration costs and reasonable legal fees to the extent the tribunal allows.
